AMC challenges legality of Robinhood's AMC stock token
Regulation & Gov ·
AMC's chief executive is demanding Robinhood stop trading a tokenized version of AMC shares, calling the product unauthorized as a related meme token's market value swelled past $125 million.
Adam Aron, who leads AMC Entertainment, said the company has no relationship with, has not approved, and does not endorse Robinhood's AMC Stock Token, according to a report. He used blunt language to condemn the offering, calling it "contemptible, outrageous, disgusting, inexcusable," and pointed out that the instrument lacks registration under U.S. securities law. Aron added that AMC has retained outside securities counsel to examine the situation.
Robinhood's chief executive, Vlad Tenev, offered a terse response to the criticism, asking "What's the concern?" Internal Robinhood documentation indicates the disputed product is structured as tokenized debt, issued through the company's Jersey-based entity, giving holders financial exposure tied to AMC's share price rather than any direct equity stake or ownership claim in the company itself.
The dispute has coincided with unusual activity in a separate token tied to the Robinhood Chain ecosystem. A meme coin called MEME, which is paired with the tokenized AMC asset inside a liquidity pool, climbed to an approximate market capitalization of $125.6 million, briefly touching a high near $151.2 million before pulling back, per the same report.
The clash highlights a structural tension in tokenized-equity products: they aim to mirror stock price movements without granting the legal rights of actual shareholding, a distinction that has drawn scrutiny from at least one referenced company whose stock underlies such a token. Coverage of the standoff has spread across multiple outlets, with four distinct sources tracking the story as of this writing.
Unresolved is whether AMC's legal review will result in formal action against Robinhood, and whether U.S. regulators will weigh in on the registration status of the Stock Token product. Also unclear is what triggered the MEME token's rapid rise and subsequent pullback, and whether Robinhood will alter or pause the AMC-linked offering in response to the public dispute.
