Metaplanet is committing 2,100 BTC and $2.5 million in cash to recapitalize Super League Enterprise, rebranding it as Superplanet and converting it into a US-listed Bitcoin treasury platform operating under ticker SUPA. The transaction will leave Metaplanet with roughly 95.7% control of the company's common stock and voting power.
The structure mirrors Metaplanet's existing model in Asia by creating a second listed vehicle to tap into US capital markets in USD, while the parent company continues raising yen-denominated funding in Japan. All Bitcoin acquired by Superplanet will consolidate into Metaplanet's group holdings. A key element of the plan involves issuing USD perpetual preferred shares to finance additional Bitcoin purchases; in a hypothetical scenario where capital raised equals the value of the initial 2,100 BTC contribution, the treasury could double to 4,200 BTC without diluting common shares.
The transaction remains subject to shareholder approval, Nasdaq clearance, and other regulatory conditions, with an expected close in the fourth quarter. Metaplanet currently holds 43,000 BTC as a corporate holder, positioning it as the third-largest publicly listed holder by that measure.
