Kalshi raises $1.12 billion in private funding, targets $40 billion valuation

The regulated event-contract exchange has sold equity since April as part of a private offering that remains open, according to a fresh SEC filing.
Kalshi has raised $1.12 billion through private equity sales dating back to April, based on its latest Form D filing, with the company said to be targeting a $40 billion valuation as a regulatedRegulated) prediction-market platform. Roughly $380 million of the offering is reported to remain unsold, suggesting the exchange is still in the process of closing out the round. The filing, detailed by The Block, places Kalshi among the more heavily capitalized players in the event-contract space as regulators continue to weigh how such markets should be classified and supervised.
The raise lands in a broader stretch of activity across crypto infrastructure. Hyperliquid activated its "AQAv2" framework on August 26, a mechanism that channels yield from USDC reserves into buybacks and burns of its native HYPE token, with Circle acting as technical deployer and Coinbase as treasury manager, according to WuBlockchain. Under the structure, about 90% of reserve yield is passed to the protocol and moved in 30-day cycles to an Assistance Fund that executes the buybacks and permanent burns, with the first yield accrual beginning August 26 and execution set for October 3.
Separately, LayerZero is preparing to launch an institution-facing exchange called Atlas, a move reported by The Information. Revolut has also moved into the stablecoin market with a euro-backed token, according to Bloomberg, adding another regulated entrant to a field already populated by bank- and fintech-issued euro stablecoins.
Coverage of Kalshi's raise and valuation target has also appeared through Leviathan News, part of a cluster of reporting that converges on the same $1.12 billion figure and $40 billion valuation goal, indicating multiple outlets are tracking the filing independently.
What remains unclear is how the remaining $380 million of the offering will be allocated, who the incoming investors are, and whether the $40 billion valuation target will hold once the round formally closes. It is also not yet established how Kalshi's fundraising pace compares with prior rounds, or what the proceeds are specifically earmarked to fund.
