The closed-end fund, which provides exposure to private robotics and physical AI companies, structured the transactions as private placements under Section 4(a)(2) of the Securities Act of 1933 and Regulation D, avoiding placement fees or commissions. The shares remain unregistered and cannot be resold without registration or an exemption. RoboStrategy intends to file a registration statement covering resale rights in accordance with applicable agreements.
