The Tie launches SEC-registered broker-dealer subsidiary (The Tie Capital) offering investment banking services including private financing, M&A advisory, and TGE support for crypto protocols.

The Tie has established The Tie Capital LLC, a wholly-owned subsidiary registered as a broker-dealer with the SEC and a member of FINRA. The new unit will provide advisory services on private capital raises, M&A transactions, protocol restructurings, token generation events, token-to-equity conversions, and other capital markets engagements for crypto protocols and digital asset businesses. Boomer Saraga, who previously held roles at Truist Securities and P2 Corporate Finance and founded Khelp Financial, a crypto-registered investment adviser, leads the unit as Managing Director.
The Tie, which has operated since 2017 as a market intelligence and data provider serving institutional clients in digital assets, sees The Tie Capital as a natural extension of its ecosystem presence. Existing customers of The Tie Terminal and its other products have requested deeper hands-on advisory relationships, according to Co-Founder & CEO Joshua Frank. The subsidiary aims to address a gap in institutional-grade investment banking for crypto-native companies, drawing on The Tie's proprietary datasets, investor networks, and understanding of tokenized structures.
The move signals demand for regulatory-compliant capital markets infrastructure tailored to protocol financing and M&A, though the scope of transactions The Tie Capital will execute and the scale of its initial deal flow remain to be demonstrated.
