The XRP treasury firm's merger with Armada Acquisition Corp. II now awaits only a shareholder vote after the SEC signed off on its registration statement.
Evernorth disclosed on August 27 that the SEC had declared its registration statement effective, clearing a procedural obstacle in its planned combination with Armada Acquisition Corp. II, a special purpose acquisition company backed by Arrington Capital, according to CryptoPotato. Armada II shareholders are scheduled to vote on the deal on September 30, 2026, and the transaction's closing still hinges on that approval along with other standard conditions.
The arrangement traces back to March, when Evernorth submitted a Form S-4 outlining its intent to let public investors gain XRP exposure through a corporate vehicle rather than by holding the token directly. Under the structure, holders of Evernorth units and Armada stock would convert their positions into shares of the merged entity once the deal closes. If completed, the combined company would trade on Nasdaq under the ticker XRPN, pending exchange sign-off, marking a shift from a token-holding model to one built around managing XRP as a treasury asset inside a publicly listed firm, a distinction detailed by The Block.
Evernorth has already secured more than $1B in gross proceeds from a group of institutional and strategic backers that includes Ripple, SBI Holdings, Pantera Capital, Kraken, and Arrington Capital. Company leadership has framed the public listing as part of a broader push toward on-chain institutional finance, with the treasury strategy positioned to expand XRP's role in that shift.
The SEC's effective registration moves the deal past regulatory review but does not finalize it โ the shareholder vote remains the next checkpoint before closing. Evernorth has stated an ambition to become the largest XRP treasury company listed on Nasdaq, a goal that would test whether its accumulation strategy translates into sustained demand for the token or increased activity on the XRP Ledger.
Whether the merger closes as scheduled, and what effect a Nasdaq-listed treasury vehicle of this scale might have on XRP's broader market behavior, remains to be seen once the September 2026 vote takes place.
